Candidate Profile

JD from a top-tier law school with an excellent academic record(link removed)>
Active Bar Admission in New York, in good standing.

58 years of substantive experience advising on capital markets and securities transactions(link removed)>
Securities Law Expertise: In-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.

Corporate Governance: Experience counseling public companies on corporate governance, disclosure obligations, and compliance matters.

Demonstrated experience advising investment banks, issuers, underwriters, or investors in public and private offerings of debt and equity securities(link removed)>
Ability to manage multiple matters in a fast-paced environment with a client-focused, solutions-oriented approach.

Soft Skills: Strong writing, communication, and interpersonal skills. The ideal candidate works well on a team and has an entrepreneurial spirit.

Key Responsibilities

Transaction Management: Lead and support capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings.

Disclosure & Compliance: Advise clients on disclosure obligations, SEC reporting, and stock exchange requirements.

Public Company Counseling: Provide strategic legal advice on securities law compliance and corporate governance best practices.

Document Drafting: Prepare and review finance and restructuring documents, offering documents, registration statements, proxy statements, and other securities filings.

Client Engagement: Develop and maintain strong, trusted relationships with a broad range of clients, from emerging companies to established public corporations.

Compensation & Benefits

Highly Competitive Salary: $260,000 $455,000, commensurate with experience.
