A leading AmLaw 50 firm is seeking a talented mid-senior level Associate Attorney or Special Counsel to join its prestigious Capital Markets & Securities practice(link removed) This is an outstanding opportunity for a driven legal professional to advise on complex finance and securities transactions and public company matters within a dynamic and collaborative environment.






Candidate Profile



  • JD from a top-tier law school with an excellent academic record(link removed)>
  • Active Bar Admission in New York, in good standing.

  • 58 years of substantive experience advising on capital markets and securities transactions(link removed)>
  • Securities Law Expertise: In-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.

  • Corporate Governance: Experience counseling public companies on corporate governance, disclosure obligations, and compliance matters.

  • Demonstrated experience advising investment banks, issuers, underwriters, or investors in public and private offerings of debt and equity securities(link removed)>
  • Ability to manage multiple matters in a fast-paced environment with a client-focused, solutions-oriented approach.

  • Soft Skills: Strong writing, communication, and interpersonal skills. The ideal candidate works well on a team and has an entrepreneurial spirit.






Key Responsibilities



  • Transaction Management: Lead and support capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings.

  • Disclosure & Compliance: Advise clients on disclosure obligations, SEC reporting, and stock exchange requirements.

  • Public Company Counseling: Provide strategic legal advice on securities law compliance and corporate governance best practices.

  • Document Drafting: Prepare and review finance and restructuring documents, offering documents, registration statements, proxy statements, and other securities filings.

  • Client Engagement: Develop and maintain strong, trusted relationships with a broad range of clients, from emerging companies to established public corporations.

Compensation & Benefits



  • Highly Competitive Salary: $260,000 $455,000, commensurate with experience.
